Terms of Service

Last updated: September 24, 2026

These Terms of Service (“Terms”) govern your use of Memberlyst (“Memberlyst”, “we”, “us”, or “our”) - our website, web application, and mobile apps (together, the “Service”). By creating an account or using the Service, you agree to these Terms. If you are agreeing on behalf of an organization, you represent that you are authorized to bind that organization.

Memberlyst is operated from Alberta, Canada.

The Service

Memberlyst provides membership-management software that organizations use to manage members, memberships, payments, events, check-ins, communications, and related operations. We may add, change, or remove features over time.

Accounts

You must provide accurate account information and keep your credentials secure. You are responsible for activity that happens under your account. Administrators of an organization are responsible for the staff and members they add and for the permissions they grant.

Your data and your members’ data

  • Your content. As between you and Memberlyst, the information your organization puts into the Service (including member records) remains yours. You grant us the limited rights needed to host and operate the Service for you.
  • Your responsibility for member data. You are responsible for having the right to collect and use the personal information you enter about your members and other individuals, for providing them any required notices, and for obtaining any required consents. You will use the Service in compliance with applicable privacy and other laws.
  • Our role. For the personal information you enter about your members, we act as a service provider processing it on your behalf and under your instructions, as described in our Privacy Policy.

Acceptable use

You agree not to:

  • use the Service unlawfully or to store or send unlawful content;
  • upload personal information you are not authorized to use;
  • send messages through the Service that violate anti-spam or other laws;
  • attempt to breach security, access other organizations’ data, or disrupt the Service;
  • reverse engineer, resell, or misuse the Service except as permitted by law.

Fees

Some plans or features may require payment. Any applicable fees, billing terms, and refund terms will be presented to you before you subscribe. Online payments you collect from your members through the Service are processed by third-party providers (such as Stripe and PayPal) subject to their terms.

Third-party services

The Service relies on third-party providers (for example for hosting, email, payments, and push notifications). Your use of features that depend on them may be subject to those providers’ terms, and we are not responsible for their acts or omissions.

Intellectual property

We and our licensors own the Service and all related software, and all rights not expressly granted to you are reserved. These Terms do not transfer any ownership of the Service to you.

Availability and changes

We work to keep the Service available but do not guarantee uninterrupted or error-free operation. We may perform maintenance, and we may modify or discontinue features.

Disclaimers

The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, to the fullest extent permitted by law, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of liability

To the fullest extent permitted by law, Memberlyst will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, or profits, arising out of or relating to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the claim (or, if you have paid nothing, CAD $100).

Termination

You may stop using the Service at any time. We may suspend or terminate access for a breach of these Terms or to protect the Service or others. On termination, your right to use the Service ends; we will make your data available for a reasonable period on request, after which it may be deleted, subject to our Privacy Policy and any legal retention requirements.

Changes to these Terms

We may update these Terms as the Service evolves or the law changes. We will revise the “Last updated” date above and, for material changes, take reasonable steps to notify you.

Governing law

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. The courts located in Alberta will have exclusive jurisdiction over any dispute, subject to any non-waivable rights you have under applicable law.
